TERMS AND CONDITIONS (“TERMS AND CONDITIONS”) FOR THE UNIDUKAN ACTIVATION (“ACTIVATION”)

By participating, participants are deemed to have accepted these following terms and conditions. Entries must comply with these terms and conditions to be valid.  

بالمشاركة ، يعتبر المشاركون قد وافقوا على الشروط والأحكام التالية. يجب أن تمتثل المشاركات لهذه الشروط والأحكام لتكون سارية. 

 

This Activation is carried out by Binzagr Unilever Distribution Ltd. Company, P.O. Box 22800 Jeddah 21416 Kingdom of Saudi Arabia (hereinafter “Unilever”) and is open to all registered subscribers (“Participant”) of Unilever’s members only E-Commerce Platform Unidukan through www.sa.unidukan.com in the Kingdom of Saudi Arabia (“Territory”). 

 

يتم تنفيذ هذا التنشيط بواسطة شركة Binzagr Unilever Distribution Ltd.، P.O. صندوق 22800 جدة 21416 المملكة العربية السعودية (يشار إليها فيما يلي باسم "Unilever") وهو مفتوح لجميع المشتركين المسجلين ("المشتركين") لأعضاء Unilever فقط منصة التجارة الإلكترونية Unidukan من خلال www.sa.unidukan.com  في المملكة العربية السعودية ("الإقليم "). 

 
  1. Eligibility to enter the Activation 

I. الأهلية للمشاركة في التنشيط  

 
  1. Unilever Group Company (Unilever PLC and its subsidiaries) employees and agency employees or members of their families, contractors or agents are eligible to participate in the Activation. 
  1. To be eligible to enter the Activation, the Participant must: 
  1. Be a registered Unidukan platform subscriber throughout the duration of this Activation; 
  1. Be a citizen or resident of the Territory throughout the duration of this Activation; 
  1. Be 21 years of age or any other age of legal capacity as per the applicable laws of the Territory to be subject to these Terms and Conditions; 
  1. Provide proof of identity, citizenship and residence in the form reasonably required by Unilever upon request;  
  1. Use his or her actual personal information upon filling any forms;  
  1. Unilever reserves the right to verify the eligibility of all Participants.  

 

 1. يحق لموظفي شركة Unilever Group Company (Unilever PLC والشركات التابعة لها) وموظفي الوكالة أو أفراد عائلاتهم أو المتعاقدين أو الوكلاء المشاركة في التنشيط. 

2. لكي يكون مؤهلاً للمشاركة في التنشيط ، يجب على المشارك: 

a) أن يكون مشتركًا مسجلاً في منصة Unidukan طوال مدة هذا التنشيط ؛ 

b) أن يكون مواطنًا أو مقيمًا في الإقليم طوال مدة هذا التنشيط ؛ 

c) أن يبلغ من العمر 21 عامًا أو أي عمر آخر للأهلية القانونية وفقًا للقوانين المعمول بها في الإقليم لكي تخضع لهذه الشروط والأحكام ؛ 

d) تقديم إثبات الهوية والجنسية والإقامة بالشكل الذي تطلبه شركة Unilever بشكل معقول عند الطلب ؛ 

e) استخدام معلوماته الشخصية الفعلية عند ملء أي استمارات ؛ 

(fيحق لشركة Unileverالتأكد من أهلية المشتركين للمشارك . 

 
  1. Activation objective

  1. Already registered Unidukan users will receive a link that can be shared with Friends & Family interested to register and participate in the Activation.  
  1. Interested Friends & Family members will follow the link, register an account on Unidukan and accept all related terms and conditions and Privacy Notice to be able to participate in the Activation. 

 

  1. Participating in the Activation is considered by itself an acceptance of these Terms and Conditions. 

 

  1. The Activation will start on 8 June 2023 (“Start Date”) and ends on 14 September 2023 (“End Date”) and the period of the Activation will be known as the “Activation Period”.   

 

  1. Unilever has an exclusive right to reschedule or cancel or extend the Activation Period without any liability on its part.  

 

  1. For the purposes of this Activation, Unilever may collect personal information in order to conduct the Activation and may, for this purpose, disclose such information to other third parties, including, but not limited to, Unilever’s authorized agents or service providers and as required, to regulatory authorities. 

 

  1. By participating in the Activation, the Participant hereby consents to the use of their personal information in the manner as set out in these Terms and Conditions and waives their rights to initiate any claim against Unilever for privacy invasion, improper disclosure of personal information or any other related claims. 

 

  1. Unidukan is a closed platform and will be accessible during the Activation Period only for Friends & Family members of already registered users. After the end of the Activation Period, registered accounts under the Friends & Family Private sale agree that their accounts will be deactivated, and they will no longer have access to the Unidukan platform. 

 

  1. During the Activation Period, a purchase limit is defined to a limit of 5 pieces per item for each customer, and a maximum of 2 pieces per bundle for each order. 

 

1. سيتلقى مستخدمو Unidukan المسجلون رابطًا قابلاً للمشاركة يمكن إرساله إلى أصدقائك وعائلتك للتسجيل والمشاركة في التنشيط. 

2. سيتبع الأصدقاء والعائلة المهتمون الرابط ، ويسجلون حسابًا على Unidukan ويقبلون جميع الشروط والأحكام ذات الصلة وإشعار الخصوصية للتمكن من المشاركة في التنشيط. 

. 3 يعتبر الدخول إلى "التنشيط" في حد ذاته بمثابة قبول لهذه الشروط والأحكام. 

 

4. سيبدأ التنشيط في 14 سبتمبر2022 ("تاريخ البدء") وينتهي 16 سبتمبر2022   ("تاريخ الانتهاء") وستعرف فترة التنشيط باسم "فترة التنشيط". 

 

5.يحق لشركة Unilever حصريًا إعادة جدولة التاريخ الذي تختاره للفائزين. 

 6.لاغراض هذا التنشيط ، قدتقوم شركة Unilever بتجميع المعلومات الشخصية وقد يتم تمرير هذه المعلومات إلى أطراف ثالثة لهذا الغرض، بما في ذلك ودون حصر، الوكلاء المعتمدين أو مقدمين الخدمات لشركة Unilever وإلى السلطات التنظيمية حسب الطلب.  

7. وفق مشاركتهم في هذا التنشيط ، يوافق المشاركون على استخدام معلوماتهم الشخصية بالطريقة المنصوص عليها في هذه الشروط والأحكام ويتنازلون عن حقوقهم لبدء أي دعوى ضد شركة Unilever بسبب انتهاك الخصوصية، الكشف عن المعلومات الشخصية بشكل غير لائق أو أي مطالبات أخرى ذات صلة. 

 

8. Unidukan عبارة عن منصة مغلقة وسيكون الوصول إليها مفتوحًا خلال تواريخ التنشيط. بعد انتهاء تاريخ التنشيط ، سيتم إلغاء تنشيط حسابات العملاء المسجلين ضمن البيع الخاص بالأصدقاء والعائلة ولن يعود بإمكانهم الوصول إلى منصة Unidukan. 

 

9. أثناء التنشيط ، يكون لكل عميل حد معين من 5 قطع لكل عنصر فردي ، وقطعتين كحد أقصى لكل حزمة لكل طلب.

  1. Intellectual Property 

 

الملكية الفكرية 

The Participant acknowledges that all copyrights, trademarks, logos, and other intellectual property rights in the artwork, graphics, text, video and audio clips and other content on the Activation (“Content”) are owned by Unilever and the participant hereby agree that he or she will not reproduce or otherwise use any such intellectual property rights, in whole or in part, for any reason whatsoever. 

 

يقر المشارك بأن جميع حقوق النشر والعلامات التجارية والشعارات وحقوق الملكية الفكرية الأخرى في الأعمال الفنية والرسومات والنصوص ومقاطع الفيديو والصوت والمحتويات الأخرى في التنشيط ("المحتوى") مملوكة لشركة يونيليفر ويوافق المشارك بموجب هذا على أنه أو لن تقوم بإعادة إنتاج أو استخدام أي من حقوق الملكية الفكرية هذه ، كليًا أو جزئيًا ، لأي سبب من الأسباب. 
  1. Force Majeure

Unilever may cancel, modify or suspend the Activation for causes outside Unilever’s reasonable control or by any force majeure including but not limited to actions, regulations, orders, or requests by any governmental or quasi-governmental entity, equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared) fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labour dispute or strike (whether legal or illegal), labour or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond Unilever’s sole and reasonable control.   

 

يجوز لشركة يونيليفر إلغاء التنشيط أو تعديله أو تعليقه لأسباب خارجة عن سيطرة يونيليفر المعقولة أو بسبب أي قوة قاهرة بما في ذلك على سبيل المثال لا الحصر الإجراءات أو اللوائح أو الأوامر أو الطلبات من قبل أي كيان حكومي أو شبه حكومي أو تعطل المعدات أو التهديد بأعمال إرهابية أو إرهابية أعمال ، غارة جوية ، تعتيم ، عمل عدو عام ، زلزال ، حرب (معلنة أو غير معلن عنها) حريق ، فيضانات ، وباء ، انفجار ، طقس شديد غير عادي ، إعصار ، حظر ، نزاع عمالي أو إضراب (سواء كان قانونيًا أو غير قانوني) ، عمالة أو مواد النقص ، أو توقف النقل من أي نوع ، أو تباطؤ العمل ، أو الاضطرابات المدنية ، أو العصيان ، أو الشغب ، أو أي سبب آخر مشابه أو غير متماثل خارج عن سيطرة شركة يونيليفر الوحيدة والمعقولة. 
  1. Limitation of Liability

  1. Neither Unilever nor any of its respective parents, subsidiaries, affiliates, advertising and Activation agencies, legal and financial advisors, any and all other companies associated with this Activation or any of Unilever’s respective officers, directors, shareholders, agents, licensees, licensors and employees (collectively, the “Released Parties”) are responsible for any loss or damage whatsoever which is suffered (including but not limited to indirect or consequential loss) or for any personal injury, loss or damage suffered or sustained (even caused by negligence) in connection with participating in this Activation, except for any liability which cannot be excluded by law.  
  1. Each Participant accepts the conditions stated in these Terms and Conditions and agrees to be bound by the decisions of Unilever and warrants that he or she is eligible to participate in this Activation.  The Participant agrees, except to the extent that any personal injury or death is caused by the Released Parties’ negligence or breach of these Terms and Conditions, that the Released Parties shall not be responsible for any claims, losses, liability, and damages of any kind (including reasonable attorney’s fees and expenses) asserted against any of them, incurred, sustained, or arising in connection with the use, acceptance or misuse of any entry material, or while preparing for, participating in any Activation related activity including without limitation any injury, damage, death, loss, accident to person or property, or from the respective Participant’s breach of any agreement or warranty associated with this Activation, including these Terms and Conditions.  
  1. Any attempt to deliberately damage any website or undermine the legitimate operation of this Activation is a violation of criminal and civil laws and, should such an attempt be made, Unilever and each of their licensees and representatives reserve the right to seek damages or other remedies from any such person(s) responsible for any such attempt to the fullest extent permitted by law. 
  1. For the purpose of this Activation, Unilever shall not in any case be responsible for any loss or damage whatsoever which is suffered (including but not limited to indirect or consequential loss) or for any personal injury, loss or damage suffered or sustained (even caused by negligence) in connection with the home cleaning services subject of the voucher.  

 

1. لا Unilever ولا أي من الشركات الأم والشركات التابعة لها والشركات التابعة لها ووكالات الإعلان والتنشيط والمستشارين القانونيين والماليين وأي وجميع الشركات الأخرى المرتبطة بهذا التنشيط أو أي من مسؤولي Unilever أو مديريها أو مساهميها أو وكلائها أو المرخص لهم أو المرخص لهم والموظفين (مجتمعين ، "الأطراف المعفاة") مسؤولون عن أي خسارة أو ضرر من أي نوع تم تكبده (بما في ذلك على سبيل المثال لا الحصر الخسارة غير المباشرة أو التبعية) أو عن أي إصابة شخصية أو خسارة أو ضرر متكبدة أو متكبدة (حتى بسبب الإهمال ) فيما يتعلق المشاركة في هذا التنشيط ، باستثناء أي مسؤولية لا يمكن استبعادها بموجب القانون.  

2. يقبل كل مشارك الشروط المنصوص عليها في هذه الشروط والأحكام ويوافق على الالتزام بقرارات شركة Unilever ويتعهد بأنه مؤهل للمشاركة في هذا التنشيط. يوافق المشارك ، باستثناء الحد الذي تكون فيه أي إصابة شخصية أو وفاة ناجمة عن إهمال الأطراف المتخلى عنها أو خرقها لهذه الشروط والأحكام ، أن الأطراف المعفاة لن تكون مسؤولة عن أي مطالبات أو خسائر أو مسؤولية أو أضرار ناتجة عن أي النوع (بما في ذلك أتعاب المحاماة والمصاريف المعقولة) التي تم تأكيدها ضد أي منها ، أو المتكبدة ، أو المستمرة ، أو الناشئة فيما يتعلق باستخدام أو قبول أو إساءة استخدام أي مادة إدخال ، أو أثناء التحضير ، للمشاركة في أي نشاط متعلق بالتنشيط بما في ذلك على سبيل المثال لا الحصر أي إصابة أو ضرر أو وفاة أو خسارة أو حادث لشخص أو ممتلكات أو من خرق المشارك المعني لأي اتفاقية أو ضمان مرتبط بهذا التنشيط ، بما في ذلك هذه الشروط والأحكام. 

3. أي محاولة للإضرار عمداً بأي موقع ويب أو تقويض التشغيل المشروع لهذا التنشيط يعد انتهاكًا للقوانين الجنائية والمدنية ، وفي حالة حدوث مثل هذه المحاولة ، تحتفظ شركة Unilever وكل من المرخص لهم وممثليهم بالحق في المطالبة بتعويضات أو غيرها التعويضات من أي شخص (أشخاص) مسؤول عن أي محاولة من هذا القبيل إلى أقصى حد يسمح به القانون. 

 

4.لأغراض هذا التنشيط لن تكون شركة Unilever مسؤولة في أي حال من الاحوال عن أي خسارة أو ضرر من أي نوع تم تكبده (بما في ذلك على سبيل المثال لا الحصر الخسارة غير المباشرة أو التبعية) أو عن أي إصابة شخصية أو خسارة أو ضرر متكبدة (حتى بسبب الإهمال) فيما يتعلق بخدمة تنظيف المنزل التي يتم تقديمها بموجب القسيمة. 

 
  1. Indemnity

  1. The Participant will indemnify and hold Unilever, their subsidiary and affiliate entities and the employees, officers, directors and representatives of each harmless (including costs and attorney’s fees) from any claim or demand made by any third party due to or arising out of access to or use of the Activation, the violation of the Terms and Conditions, or the infringement of any intellectual property or other proprietary right, by the Participant or any third party using the Participant’s account. The Participant’s obligation under this indemnity may not be offset against any other claim.  
  1. All Participants release from, and indemnify Unilever against, all liability, cost, loss or expense arising out of participation in this Activation including, but not limited to, personal injury and damage to property and whether direct or consequential, foreseeable, due to some negligent act or omission or otherwise.  

 

1. سوف يقوم المشارك بتعويض شركة Unilever والكيانات التابعة لها والتابعة لها والموظفين والمسؤولين والمديرين وممثلي كل جهة غير ضارة (بما في ذلك التكاليف وأتعاب المحاماة) وتحملها من أي مطالبة أو طلب يقدمه أي طرف ثالث بسبب أو ناشئ عن الوصول إلى التنشيط أو استخدامه ، أو انتهاك الشروط والأحكام ، أو التعدي على أي ملكية فكرية أو حقوق ملكية أخرى ، من قبل المشارك أو أي طرف ثالث يستخدم حساب المشارك. لا يجوز تعويض التزام المشارك بموجب هذا التعويض مقابل أي مطالبة أخرى. 

2. يعفى جميع المشاركين ويعوضون Unilever عنها من جميع المسؤوليات أو التكاليف أو الخسائر أو النفقات الناشئة عن المشاركة في هذا التنشيط بما في ذلك ، على سبيل المثال لا الحصر ، الإصابة الشخصية والأضرار التي تلحق بالممتلكات سواء كانت مباشرة أو تبعية ، متوقعة ، بسبب بعض الإهمال أو الإغفال أو غير ذلك. 

 
  1. Amendments 

 

تعديلات 

Unilever reserves the right at its sole discretion, without any prior notice, to suspend, cancel, terminate or modify any feature of the Activation including, but not limited to content, hours of availability, and equipment needed for access or use without advance notice and to re-commence the Activation in its sole discretion and upon Terms and Conditions deemed reasonable by Unilever.

  1. Privacy

The data controller is Binzagr Unilever Distribution Ltd. Company and contact can be made through data.protection@Unilever.com. Unilever’s privacy policy is available at Privacy Notice (unilevernotices.com). Personal information will be used by Unilever only in connection with this Activation as provided in these Terms and Conditions.  Participants have the right to access, withdraw, and correct their personal data. Participants may request such action by emailing: data.protection@unilever.com.

  1. Miscellaneous

  1. By entering this Activation, the Participant represents, warrants and agrees that he or she has read and understood these Terms of Conditions and the Privacy Policy and agrees to be bound by them. Noncompliance with the Terms and Conditions of this Activation will disqualify the Participant.  
  1. By entering this Activation, each Participant agrees that his or her personal data received by Unilever and the agency in accordance with the provisions of these Terms and Conditions may be processed for the purpose of the Activation. 
  1. The winner of this Activation hereby grants Unilever and its licensees, respective affiliates, Activation partners, and third party marketing entities, at no cost and without the need of any of the winners authorisation, the unconditional perpetual right and authority to publish and broadcast anywhere in the world at any point in time, for any purpose in association with this Activation and in any publicity and public relations about the Activation and media (including internet sites, Unidukan.com, mobile, television, radio, social media and press) (“Activation Publicity”); their name, image, photograph, video footage or audio record taken of them (where applicable), biographical data, testimonial, or other likeness and/or information or personal exposition (and/or any edited portion thereof). By entering the Activation, the winner agrees to appear in all necessary media coverage related to this Activation.  
  1. All entries become the property of Unilever. By entering this Activation, each Participant consents to the personal information they submit with their entry being used for the primary purposes of: administering this Activation, passing on information to related entities and to enter into a database for future promotional, marketing and publicity activities of Unilever or the Unilever Group. Unilever regards the security of its personal information as a priority, however, cannot guarantee the security of personal information provided. 
  1. By registering your details, the Participant agrees that his or her submitted details will be stored and used by Unilever to keep him or her informed about Unilever promotions, products and news. The Participant understands that his or her details will not be passed on or sold to any other third party without his or her prior knowledge and consent.   
  1. Each Participant hereby acknowledges and agrees that the relationship between the Participant and Unilever and its affiliates is not a confidential, fiduciary, or other special relationship, and that the Participant’s decision to participate in the Activation does not place Unilever and its affiliates in a position that is any different from the position held by members of the general public with regard to elements of the Participant’s participation, other than as set forth in these Terms and Conditions.  
  1. By registering and participating in this Activation, the Participant accepts that any dispute in relation to their participation in this event will be subject to the laws of the United Arab Emirates and the Participant agrees to submit to the exclusive jurisdiction of the Dubai Courts.  
  1. If any provision of these rules is invalid under the laws, rules or regulations of the Territory, it will only apply to the extent permitted and adjusted as legal to satisfy Unilever’s objectives. In addition, Participants are required to abide by the applicable laws, rules and regulations of the Territory as they may pertain to participation in this Activation.    

1. من خلال الدخول في هذا التنشيط ، يقر المشارك ويضمن ويوافق على أنه قد قرأ وفهم شروط الشروط وسياسة الخصوصية هذه ويوافق على الالتزام بها. سيؤدي عدم الامتثال لشروط وأحكام هذا التنشيط إلى استبعاد المشارك. 

2. بالدخول في هذا التنشيط ، يوافق كل مشارك على أن بياناته الشخصية التي تتلقاها Unilever والوكالة وفقًا لأحكام هذه الشروط والأحكام يمكن معالجتها لغرض التنشيط. 

3. يمنح الفائز في هذا التنشيط بموجبه شركة Unilever والمرخص لهم والشركات التابعة لها وشركاء التنشيط وكيانات التسويق التابعة لجهات خارجية ، دون أي تكلفة ودون الحاجة إلى أي تفويض من الفائزين ، الحق الدائم غير المشروط والسلطة للنشر والبث في أي مكان في العالم وفي أي وقت ولأي غرض متعلق بهذا التنشيط وفي أي دعاية وعلاقات عامة حول التنشيط ووسائل الإعلام (بما في ذلك مواقع الإنترنت والهاتف المحمول والتلفزيون والراديو والصحافة) ("دعاية التنشيط") ؛ الاسم أو الصورة أو الصورة أو لقطات الفيديو أو التسجيل الصوتي المأخوذ منهم (عند الاقتضاء) ، أو بيانات السيرة الذاتية ، أو الشهادة ، أو أي تشابه آخر و / أو معلومات أو المعرض الشخصي (و / أو أي جزء محرر منه). من خلال الدخول إلى "التنشيط" ، يوافق الفائز على الظهور في جميع التغطيات الإعلامية الضرورية المتعلقة بهذا التنشيط.

6. يقر كل مشارك بموجب هذا ويوافق على أن العلاقة بين المشارك وشركة Unilever والشركات التابعة لها ليست علاقة سرية أو ائتمانية أو علاقة خاصة أخرى ، وأن قرار المشارك بالمشاركة في التنشيط لا يضع Unilever والشركات التابعة لها في موقف يختلف عن الموقف الذي يشغله أعضاء الجمهور فيما يتعلق بعناصر مشاركة المشارك ، بخلاف ما هو منصوص عليه في هذه الشروط والأحكام. 

7. بالتسجيل والمشاركة في هذه الفعالية ، يوافق المشارك على أن أي نزاع يتعلق بمشاركته في هذا الحدث سيخضع لقوانين دولة الإمارات العربية المتحدة ويوافق المشارك على الخضوع للاختصاص القضائي الحصري لمحاكم دبي. 

8. إذا كان أي بند من هذه القواعد غير صالح بموجب القوانين أو القواعد أو اللوائح الخاصة بالإقليم ، فسيتم تطبيقه فقط إلى الحد المسموح به ويتم تعديله كقانون لتلبية أهداف Unilever. بالإضافة إلى ذلك ، يتعين على المشاركين الالتزام بالقوانين والقواعد واللوائح المعمول بها في الإقليم لأنها قد تتعلق بالمشاركة في هذا التنشيط.
